1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and FlipGrowth ("we," "us," or "our"), concerning your access to and use of the https://flipgrowth.in/ website as well as any other media form, media channel, mobile website, services, product integrations, or custom development workflows related or connected thereto (collectively, the "Site" and "Services").

You agree that by accessing the site or contracting our services, you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and Services and you must discontinue use immediately.

2. Service Provision and Liability

FlipGrowth provides digital agency services including but not limited to Web Development, WordPress Management, Cloud Infrastructure Setup, and Custom AI/n8n Workflow integrations.

• Third-Party Downtimes: While we build robust cloud structures, we are not liable for direct downtime caused by third-party providers (e.g., AWS, DigitalOcean, external API failures, or SaaS platform outages).
• Data Loss: We implement backup protocols in our Managed WordPress and Cloud services; however, the client is ultimately responsible for securing primary data redundancy. FlipGrowth holds no liability for data loss consequent to malicious attacks, user error, or catastrophic hardware failure.

3. Intellectual Property Rights

Unless otherwise indicated or explicitly stated in a custom service contract:

• The Site and our core proprietary systems, designs, text, graphics, and code (collectively, the "Content") are owned by or licensed to us.
• Upon the final payment for custom Web Development or AI workflow engineering, the Intellectual Property of the final deliverable codebase is transferred to the Client, excepting any pre-existing open-source libraries or underlying FlipGrowth proprietary frameworks used to generate the result.

4. Fees and Payment

For custom engineering and digital marketing projects, you agree to provide current, complete, and accurate purchase and account information. Project structures are generally billed via milestone invariants. We reserve the right to halt service, suspend cloud environments, or disable custom workflows if payment obligations are not met within the agreed-upon invoice terms.

5. Governing Law

These terms shall be governed by and defined following the laws of India. FlipGrowth and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
